These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and zenylo LTD, a company registered in England and Wales (company number: 12727034), trading as briefOS ("briefOS", "we", "us", "our"), regarding your access to and use of the briefOS services, including our website at briefos.ai, web application, APIs, and any related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, you do not have permission to access the Service.

• "Content": Any videos, images, text, brand materials, or other data you upload

• "Analysis": AI-generated insights and reports produced by our Service

• "Subscription": Your paid plan for accessing the Service

2. Acceptance of Terms

2.1 Agreement to Terms

By creating an account, accessing, or using the Service, you agree to:

• Any additional terms for specific features

2.2 Capacity to Accept

You represent and warrant that:

• You are at least 18 years old

• You have the legal capacity to enter into this Agreement

• You are not barred from using the Service under applicable law

2.3 Changes to Terms

We may modify these Terms at any time. We will provide 30 days notice for material changes via email or Service notification. Continued use after the notice period constitutes acceptance of the new Terms.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must:

• Not create accounts through unauthorized automated means

3.2 Account Security

You are responsible for:

• Not sharing account access outside authorized users

3.3 Account Restrictions

You may not:

• Create multiple accounts to circumvent restrictions

• Transfer or sell your account

• Use another person's account without permission

• Impersonate any person or entity

• Use false information to create an account

4. Subscription and Payment Terms

4.1 Subscription Plans

• Free Plan: Limited features with usage restrictions

• Paid Plans: Full access based on selected tier

• Enterprise Plans: Custom features and terms

• All plans subject to fair use policies

4.2 Billing and Payment

• Payments processed securely via Stripe

• Subscription fees billed in advance

• Prices in USD unless otherwise specified

• All fees exclusive of applicable taxes

• You are responsible for all applicable taxes

4.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel anytime through account settings or by contacting info@briefos.ai.

4.4 Refunds

• Monthly subscriptions: No refunds for partial months

• Annual subscriptions: Pro-rated refund within 14 days of purchase

• No refunds for violations of these Terms

• Partial Refunds for accounts with app credits, storage or processing usage

• Refunds at our sole discretion beyond stated policy

4.5 Price Changes

We may change prices with 30 days notice. Current subscriptions remain at the existing price until renewal.

4.6 Payment Failures

If payment fails:

• We'll attempt to notify you

• Retry billing per Stripe's policies

• Service may be suspended after repeated failures

• Account may be terminated after 30 days non-payment

5. Use of Service

5.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

5.2 Service Features

The Service provides:

• AI-powered analysis of video advertisements

• Integration with Meta Ads accounts

• Performance insights and recommendations

• Team collaboration tools

• API access (selected plans)

• Data export capabilities

5.3 Service Limitations

• Analysis quality depends on input data quality

• Recommendations are suggestions, not guarantees

• Service availability not guaranteed 100%

• Features may change or be discontinued

• Usage limits apply based on plan

5.4 Your Responsibilities

You agree to:

• Use the Service only for lawful purposes

• Comply with all applicable laws and regulations

• Not interfere with Service operation

• Not attempt to gain unauthorized access

• Report security vulnerabilities responsibly

6. Content Standards and Acceptable Use

6.1 Prohibited Content

You may not upload, process, or transmit content that:

• Violates any law or regulation

• Infringes intellectual property rights

• Contains malware, viruses, or harmful code

• Depicts violence, hate speech, or discrimination

• Contains adult content or nudity

• Violates privacy rights

• Contains false or misleading information

• Promotes illegal activities

• Violates advertising standards

• Contains sensitive personal data without consent

• Is encrypted or password-protected in a way that prevents analysis

6.2 Prohibited Activities

You may not:

• Reverse engineer or decompile the Service

• Bypass any access restrictions

• Use automated tools to scrape or access the Service

• Resell or redistribute the Service

• Use the Service to compete with briefOS

• Attempt to extract our AI models or methods

• Share account credentials

• Use the Service for illegal purposes

• Transmit spam or unsolicited messages

• Violate third-party terms (including Meta's)

• Exceed rate limits or usage quotas

• Use the Service to harm minors

6.3 Enforcement

We reserve the right to:

• Remove or refuse to process prohibited content

• Suspend or terminate violating accounts

• Report illegal activity to authorities

• Seek injunctive relief for violations

• Recover costs associated with violations

7. Intellectual Property Rights

7.1 Your Content Ownership

• You retain all rights to Content you upload

• You maintain copyright and intellectual property rights

• We don't claim ownership of your Content

• You are responsible for having rights to all Content

7.2 License to briefOS

By uploading Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to:

• Store, process, and analyze your Content

• Create derivative works (thumbnails, transcripts, reports)

• Display Content to you and authorized users

• Generate anonymized, aggregated insights

• Improve our Service (not train on your specific data)

• Cache and backup for service reliability

This license continues until Content is permanently deleted from all systems.

7.3 briefOS Intellectual Property

We retain all rights to:

• The Service and its original content

• Our trademarks, logos, and brand elements

• AI models, algorithms, and methods

• Analysis templates and frameworks

• Aggregated, anonymized insights

• Software code and architecture

• Documentation and training materials

7.4 Your License to Use Analysis

• You receive a license to use Analysis for internal business purposes

• You may share Analysis within your organization

• You may include Analysis in your own client reports (with attribution)

• You may not resell Analysis as a standalone product

• You may not claim our methods as your own

7.5 Feedback

Any feedback, suggestions, or ideas you provide become our property and may be used without compensation or attribution.

7.6 Copyright Infringement (DMCA)

If you believe Content infringes your copyright:

1. Send notice to info@briefos.ai including:

   • Identification of copyrighted work

   • Identification of infringing material

   • Your contact information

   • Statement of good faith belief

   • Statement of accuracy under penalty of perjury

   • Physical or electronic signature

8. Third-Party Services

8.1 Third-Party Integrations

The Service integrates with third-party services including:

• Meta Ads (Facebook/Instagram advertising)

• Payment processors (Stripe)

• AI services (via OpenRouter)

• Analytics services

• Cloud infrastructure (AWS)

8.2 Third-Party Terms

• You must comply with third-party terms when using integrations

• We are not responsible for third-party services

• Third-party services may have separate privacy policies

• Integration availability may change without notice

8.3 Meta Ads Integration

When connecting Meta Ads accounts:

• You authorize data access per Meta's terms

• You ensure you have rights to access the account

• You comply with Meta's advertising policies

• Connection can be revoked anytime

• We're not responsible for Meta's actions

9. Privacy and Data Protection

10. Disclaimers and Limitations

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY

• FITNESS FOR A PARTICULAR PURPOSE

• NON-INFRINGEMENT

• ACCURACY OR RELIABILITY OF RESULTS

• UNINTERRUPTED OR ERROR-FREE SERVICE

10.2 No Professional Advice

The Service provides analysis and insights but does not constitute:

• Guaranteed business outcomes

• Endorsement of any strategy

10.3 AI Limitations

You acknowledge that:

• AI analysis may contain errors or inaccuracies

• Recommendations are not guaranteed to improve performance

• AI cannot replace human judgment

• We don't warrant AI availability or accuracy

10.4 Third-Party Content

We are not responsible for:

• Third-party content or services

• Actions of other users

11. Indemnification

11.1 Your Indemnification

You agree to indemnify, defend, and hold harmless briefOS, its affiliates, officers, directors, employees, agents, and licensors from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your use of the Service

• Your Content

• Your violation of these Terms

• Your violation of any rights of another

• Your violation of applicable laws

• Actions of your team members

• Your negligence or willful misconduct

11.2 Procedure

We will:

• Notify you of any claim

• Allow you to control defense (with our approval of counsel)

• Cooperate in the defense at your expense

• Reserve the right to participate with our own counsel

12. Limitation of Liability

12.1 Limitation Amount

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

• £100 GBP

• THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM

12.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES

• LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES

• LOSS OF DATA OR USE

• BUSINESS INTERRUPTION

• DAMAGE TO REPUTATION

• COST OF SUBSTITUTE SERVICES

• ANY DAMAGES BEYOND DIRECT DAMAGES

12.3 Exceptions

These limitations do not apply to:

• Our gross negligence or willful misconduct

• Death or personal injury caused by our negligence

• Liability that cannot be limited under applicable law

• Our breach of data protection obligations

12.4 Essential Purpose

These limitations apply even if:

• We knew of the possibility of damages

• Remedies fail of their essential purpose

• You relied on the Service

13. Termination

13.1 Termination by You

You may terminate your account anytime by:

• Using account settings to close your account

• Cancelling all active subscriptions

13.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms

• You violate applicable laws

• Your payment fails for 30+ days

• You engage in fraudulent activity

• Required by law or court order

• We discontinue the Service

13.3 Effect of Termination

Upon termination:

• Your access to the Service ends immediately

• Unpaid fees become due

• You may request data export within 30 days

• Content may be deleted after 30 days

2. Formal Notice: If unresolved, send written notice with 30 days to respond

3. Mediation: Optional mediation in London (costs split equally)

4. Litigation: Only after attempting above steps

14.4 Class Action Waiver

You agree to bring claims only in your individual capacity and not as part of any class or representative action.

14.5 Time Limitation

Any claim must be brought within one (1) year after the cause of action arises.

14.6 Injunctive Relief

We may seek injunctive relief in any court of competent jurisdiction for violations of intellectual property rights or confidentiality.

15. Team Accounts and Enterprise Features

15.1 Team Management

Account owners are responsible for:

• Managing team member access

• Team member compliance with Terms

• Payment for all team seats

• Data shared within teams

• Removing terminated employees

15.2 Enterprise Agreements

Enterprise customers may negotiate:

• Custom terms and SLAs

• Volume pricing

• Additional features

• Dedicated support

• Custom data processing agreements

15.3 Team Member Actions

Account owners are liable for all actions taken by team members under the account.

16. API Terms

16.1 API Access

If your plan includes API access:

• API keys must be kept confidential

• Subject to rate limits

• May not be shared or resold

• Used only for intended purposes

• Subject to additional API documentation

16.2 API Restrictions

You may not:

• Exceed rate limits

• Use APIs to compete with briefOS

• Cache data beyond reasonable periods

• Remove attribution requirements

• Use for unauthorized purposes

17. Service Modifications

17.1 Service Changes

We reserve the right to:

• Modify or discontinue features

• Change Service functionality

• Update system requirements

• Alter integration availability

• Adjust usage limits

17.2 Notice of Changes

We will provide reasonable notice for material changes that negatively impact your use of core features.

18. Beta Features

18.2 Beta Feedback

Feedback on beta features becomes our property and may be used without compensation.

19. Export Controls

You agree to comply with all export and import laws and regulations, including UK export controls and economic sanctions.

20. General Provisions

20.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and briefOS.

20.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full effect.

20.3 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

20.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights to any successor or affiliate.

20.5 Force Majeure

Neither party is liable for delays or failures due to causes beyond reasonable control, including acts of God, natural disasters, war, terrorism, pandemic, or internet service provider failures.

20.6 Relationship

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

20.7 Notices

21. Specific Service Terms

21.1 Video Upload Limits

• Maximum file size: 500MB (higher for enterprise)

• Supported formats: MP4, MOV, AVI, WebM, MKV

• Processing time varies by file size

• No guarantee of successful processing

21.2 Data Retention

• No automatic deletion of data

• Manual deletion requests via info@briefos.ai

• 30-day processing for permanent deletion

• Some data retained for legal compliance

21.3 Fair Use Policy

Unlimited plans subject to fair use:

• Reasonable business usage expected

• Excessive use may result in throttling

• Abuse may result in termination

• We'll contact you before taking action
